1. General Terms
1.1 This agreement governs the use of the CMS Watch Internet information service (the Service),
which is hosted on the world wide web at http://www.cmswatch.com. CMS Watch is a wholly owned subsidy of
CMSWorks, Inc., a Silver Spring, MD USA corporation. This agreement is between the user of the Service and CMSWorks, Inc.
2. Use of Content
2.1 The Service contains information, photographs, images, graphics, links, and other material (collectively, the Content)
that are protected by copyright, trademark or other proprietary rights of CMSWorks, Inc. or third parties.
All Content on the Service is copyrighted as a collected work of CMSWorks, Inc., pursuant to applicable copyright law.
Users of the Service may use the Content only for their personal, noncommercial use.
2.2 All trademarks and copyrights presented on the Service inure to their respective owners.
2.3 User may not modify, publish, distribute, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any other way exploit the Content, in whole or in part, except as expressly permitted in this Agreement.
2.4 User may download, copy, or print the Content only for users own personal use, provided that user maintains all copyright and other notices contained in such Content. Except as expressly permitted by the copyright laws, no copying, storage, redistribution, or publication of any Content is permitted without the express written permission of CMSWorks, Inc. Content may be e-mailed to others using the e-mail utility on this website.
3. No Endorsement
3.1 The Service may contain links to sites on the Internet which are owned and operated by third parties (the External Sites).
User acknowledges that CMSWorks, Inc. does not endorse, nor is it responsible for the
availability of, or the content located on or through, any External Site.
4. Indemnity
4.1 User agrees to indemnify, defend, and hold CMSWorks, Inc. and its affiliates, and their respective officers, directors, owners,
agents, information providers and licensors (collectively, the CMSWorks, Inc. Parties) harmless from and
against any and all claims, liability, losses, costs and expenses (include attorneys fees) incurred by any CMSWorks, Inc.
Party in connection with any use or alleged use of the Service.
5. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILTY
5.1 NEITHER CMSWORKS, INC. NOR ANY PROVIDER OF THIRD PARTY CONTENT OR THEIR RESPECTIVE AGENTS WARRANTS
THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES CMSWORKS, INC., ANY THIRD PARTY
CONTENT PROVIDER, OR THEIR RESPECTIVE AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED
FROM USE OF THE SERVICE OR THE CONTENT. THE SERVICE AND THE CONTENT ARE DISTRIBUTED ON AN AS IS, AS
AVAILABLE BASIS. NONE OF CMSWORKS, INC., THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS MAKE
ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS
FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SERVICE, ANY CONTENT OR ANY PRODUCTS OR SERVICES
SOLD THROUGH THE SERVICE, NOR ANY PRODUCTS AND SERVICES LINKED FROM THIS SITE.
5.2 NEITHER CMSWORKS, INC., ANY THIRD PARTY CONTENT PROVIDER, NOR THEIR RESPECTIVE AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBLITY OF SUCH DAMAGES.
5.3 SOME STATES DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH SATTES, THE LIABILITY OF CMSWORKS, INC., THIRD PARTY CONTENT PROVIDERS, AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
5.4 DISCLAIMER: All views and opinions contained in the columns, interviews, or other articles on this site are solely the opinion of the writer(s), and do not necessarily reflect the opinions of CMS Watch or CMSWorks, Inc.
6. Miscellaneous
6.1 This Agreement shall be construed in Accordance with the laws of the State of Maryland.
